1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Merchant,” “you,” or “your”) and Tis The One LLC (“Company,” “we,” “our,” or “us”) concerning your use of the trAInable Chat application (“App”).

By installing, accessing, or using the App, you agree to be bound by these Terms. If you disagree with any part of these Terms, you do not have permission to access or use the App.

2. Shopify Integration

trAInable Chat is a third-party application available through the Shopify App Store. Use of the App is subject to:

• Shopify's Terms of Service (https://www.shopify.com/legal/terms)
• Our Privacy Policy (/privacy)

You must maintain an active Shopify store to use trAInable Chat. We are not responsible for Shopify's services, policies, or any changes they make to their platform.

3. Account and Registration

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the App. By using the App, you represent and warrant that you meet these requirements.

3.2 Account Security

You are responsible for:

• Maintaining the security of your Shopify account and App access
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring staff members with App access follow these Terms

3.3 Accurate Information

You agree to provide accurate, current, and complete information during setup and to update such information to maintain its accuracy.

4. Subscription and Billing

4.1 Pricing Plans

trAInable Chat offers multiple subscription tiers with different features and conversation limits. Current pricing is available at trainablechat.com/#pricing.

4.2 Free Trial

We offer a 30-day free trial for new installations. You will not be charged during the trial period. After the trial ends, you will be automatically enrolled in the plan you selected unless you cancel before the trial period expires.

4.3 Billing Through Shopify

All billing is processed through Shopify's billing system. By subscribing to a paid plan:

• You authorize Shopify to charge the subscription fee to your Shopify account
• Charges will recur automatically based on your billing cycle (monthly or annual)
• Pricing is subject to change with 30 days' notice
• You can view and manage your subscription in your Shopify admin

4.4 Overages

If you exceed your plan's conversation limit, we will notify you and may:

• Suggest upgrading to a higher plan
• Temporarily limit new conversations until your next billing cycle
• Charge overage fees as specified in your plan

4.5 Refund Policy

Subscription fees are non-refundable except as required by law or at our sole discretion. If you cancel mid-cycle, you will retain access until the end of your current billing period.

5. Acceptable Use Policy

You agree NOT to use trAInable Chat to:

• Violate any laws, regulations, or third-party rights
• Transmit harmful, fraudulent, or deceptive content
• Harass, abuse, or harm customers or staff members
• Impersonate any person or entity
• Collect or store sensitive personal information without consent
• Attempt to reverse engineer, decompile, or hack the App
• Interfere with or disrupt the App's functionality
• Use the App for any unlawful or prohibited purpose
• Violate Shopify's Acceptable Use Policy
• Train competing AI models or services using our App

6. AI-Generated Content

6.1 AI Responses

trAInable Chat uses artificial intelligence to generate customer service responses. You acknowledge and agree that:

• AI-generated responses may not always be accurate or appropriate
• You are responsible for monitoring and reviewing AI interactions
• You should implement escalation rules to handle complex or sensitive issues
• We are not liable for damages resulting from AI-generated responses

6.2 Your Content

You retain ownership of all content you upload (product data, documents, policies, etc.). By uploading content, you grant us a license to use it solely to provide the App's services.

6.3 Content Responsibility

You are solely responsible for ensuring that content uploaded to the App:

• Is accurate and up-to-date
• Does not violate any intellectual property rights
• Complies with applicable laws and regulations
• Does not contain harmful or prohibited content

7. Data and Privacy

Our collection and use of data is governed by our Privacy Policy. By using the App, you consent to our data practices as described in the Privacy Policy.

You are responsible for complying with all applicable privacy laws and regulations, including obtaining necessary consents from customers whose data is processed through the App.

8. Intellectual Property

8.1 Our IP

The App, including its design, code, features, and branding, is owned by Tis The One LLC and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or create derivative works of the App
• Remove or alter any proprietary notices
• Use our trademarks without permission

8.2 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your business purposes.

9. Warranties and Disclaimers

9.1 Service Availability

We strive to maintain 99%+ uptime but cannot guarantee uninterrupted or error-free service. We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time with reasonable notice.

9.2 “AS IS” Disclaimer

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.3 No Professional Advice

The App does not provide legal, financial, medical, or other professional advice. Any information provided is for general informational purposes only.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIS THE ONE LLC SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• AI-generated responses or customer interactions
• Third-party services or integrations

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Tis The One LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of another party
• Content you upload or customer interactions

12. Termination

12.1 By You

You may cancel your subscription and uninstall the App at any time through your Shopify admin. Cancellation takes effect at the end of your current billing period.

12.2 By Us

We may suspend or terminate your access to the App immediately if:

• You breach these Terms
• Your account becomes inactive for 90+ days
• We are required to do so by law
• Continued service would cause us legal liability or harm to others

12.3 Effect of Termination

Upon termination, your right to use the App ceases immediately. We will retain your data for 30 days to allow for reinstallation, after which it will be permanently deleted.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email and by posting the updated Terms on this page with a new “Last Updated” date.

Your continued use of the App after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the App and cancel your subscription.

14. Miscellaneous

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except as prohibited by law.

14.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tis The One LLC regarding the App.
